Terms and Conditions for

Consulting/Promotion/Production Services

All charges, expenses, and other costs enumerated below (including any requisite advance payments) are payable to Dr. Richard I. Martínez and/or OmniSciHCD^® Consultants, LLC at P.O. Box 3616, Gaithersburg, MD 20885-3616 as is stipulated below (this notice dated 10/18/06 supersedes previous fee schedules).

1. Consulting/Promotion/Production Charges (1 hour minimum; 30 minute increments):

The hourly consulting rates for any given, individual single consulting project are $100-$400 per hour of consulting time and are negotiable (package deals possible) depending on the intricacy/complexity and duration of any specific project. These hourly consulting rates apply to any consulting services that are provided in-person or via the Internet or via teleconference or videoconference by Dr. Richard I. Martínez and/or any other professional staff associated with OmniSciHCD^® Consultants, LLC. These hourly consulting rates also apply to/for the preparation of any technical and/or summary reports requested by the Client as well as for the preparation of the requisite invoice summary reports that summarize the cumulative total of all the charges included in Items 1-5 herein that are incurred by the Client (e.g., who/what/where/when).

2. Commuting/Travel Charges include both (a) and (b) herein:

(a) For in-person consultations by Dr. Richard I. Martínez and/or any other professional staff associated with OmniSciHCD^® Consultants, LLC at any location selected by the Client, Client incurs a Commuting/Travel Charge equal to the sum of all applicable commuting/travel times (e.g., local commuting to/from Client's site in the Baltimore-Washington metropolitan area; transportation to/from airport, to/from hotel; flight time; pre-flight waiting times at airports, etc.) multiplied by one half of the hourly consulting rate in effect (e.g., 3-hour local commuting roundtrip would incur a $300 commuting charge when the consulting rate is $200 per hour). For travel outside the Baltimore-Washington metropolitan area, Client incurs a minimum Travel Charge of/for 8 hours (e.g., 6-hour roundtrip that includes 2-hour roundtrip flights would incur a minimum $800 travel charge when the consulting rate is $200 per hour).

(b) POV mileage reimbursement charge is $0.45/mile plus any applicable parking fees.

3. Travel-related expenses (for travel that is requested by Client to locations outside the Baltimore-Washington metropolitan area):

In addition to the Commuting/Travel Charges detailed in Item 2 above (e.g., for transportation to/from airport, to/from hotel; flight time; pre-flight waiting times at airports, etc.), Client will also provide funds in advance to Dr. Richard I. Martínez for actual expenses to be incurred by Dr. Richard I. Martínez (and/or any other professional staff associated with OmniSciHCD^® Consultants, LLC) for business-class travel (airlines, trains, etc.) and business-class hotel accommodations and meals and taxis (and/or rental cars and any applicable parking fees).

4. Materials Charges: Actual costs incurred by Dr. Richard I. Martínez and/or OmniSciHCD^® Consultants, LLC for materials will be reimbursed by Client. Materials charges include, inter alia, photocopies, FAXes, Emails, hardcopy reports, binders, postage, FEDEX, etc.

5. Payment due: Net 30 -- Payment in full must be received from Client within 30 days after the date that the services were provided (unpaid cumulative balances will accrue a $100.00 late fee each month until paid in full plus 1.5% per month penalty interest plus attorneys fees to recover the unpaid monies).

6. Disclaimer: No warranties or guarantees, expressed or implied, are represented about (a) the successful peer review or funding of any grant (or contract) application and/or (b) any promotion/production service that are discussed with (and/or information that is provided by) Dr. Richard I. Martínez and/or any of the other professional staff associated with OmniSciHCD^® Consultants, LLC; all parties herein offer only their Best, Good-Faith feedback/reflection/guidance efforts and shall be held harmless regardless of the ultimate disposition of any such grant (or contract) application.
